Partnership Program Terms and Conditions This Program Agreement (“Agreement”) is entered into between BiTech Medical, (“Company”) and the affiliate (“Affiliate”), collectively referred to as the “Parties.” 1. Enrollment in the Partnership Program 1.1. To become an Affiliate Partner, the Affiliate must submit an application through the Company’s designated affiliate registration page. The Company reserves the right to accept or reject any application at its sole discretion. 1.2. By submitting an application, the Affiliate agrees to comply with all terms and conditions outlined in this Agreement. 2. Partnership Responsibilities 2.1. The Affiliate shall promote the Company’s SaaS platform and biomedical services through approved marketing materials provided by the Company. 2.2. The Affiliate shall not engage in any deceptive, misleading, or unethical marketing practices when promoting the Company’s products and services. 2.3. The Affiliate shall not make any claims or representations about the Company’s products or services that are not approved by the Company in writing. 3. Commission Structure 3.1. The Company agrees to pay the Affiliate a commission for each qualified referral generated through the Affiliate’s unique affiliate link. 3.2. The commission structure and payment terms shall be outlined in a separate commission agreement between the Parties. 4. Intellectual Property Rights 4.1. The Company grants the Affiliate a non-exclusive, non-transferable license to use the Company’s trademarks, logos, and marketing materials solely for the purpose of promoting the Company’s products and services. 4.2. The Affiliate agrees not to modify, alter, or misrepresent the Company’s trademarks or marketing materials in any way. 5. Termination 5.1. Either Party may terminate this Agreement at any time, with or without cause, by giving written notice to the other Party. 5.2. Upon termination, the Affiliate shall immediately cease all promotion of the Company’s products and services and remove all Company-related materials from their website(s) and marketing channels. 6. Confidentiality 6.1. The Parties agree to keep confidential any proprietary information shared between them during the course of this Agreement. 6.2. The Parties shall not disclose or use any confidential information for any purpose other than the performance of their obligations under this Agreement. 7. Governing Law 7.1. This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles. 8. Entire Agreement 8.1. This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. 9. Amendments 9.1. This Agreement may only be amended in writing and signed by both Parties. By submitting an application to join the Company’s partnership program, the Affiliate acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this agreement.
